1. Who We Are and How the Platform Works

Manufactory Technologies OÜ ("Manufactory", "we", "us") operates manufactory, a CNC machining marketplace connecting buyers with vetted EU-based manufacturing suppliers.

We act as seller of record on every transaction. This means:

• You contract with Manufactory, not directly with the supplier.
• Manufactory charges your payment method and is responsible for the order being fulfilled to the agreed specification.
• The supplier who manufactures your part is a vetted network partner operating under a separate Supplier Agreement with Manufactory.
• Manufactory's platform fee is included in the price shown at checkout. We publish the fee structure transparently at manufactory.tech/pricing.

We are not a broker or intermediary. We take full commercial responsibility for every order placed through the Platform.

2. Acceptance of These Terms

By creating an account, uploading a file, placing an order, or registering as a supplier, you confirm that:

• You have read and agree to these Terms in full.
• If acting on behalf of a business, you have authority to bind that business.
• You are at least 18 years old.
• You will comply with all applicable laws in your jurisdiction.

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Platform after that date constitutes acceptance.

3. Accounts

3.1 Registration

You may browse the Platform without an account. Placing an order or registering as a supplier requires account creation. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3.2 Account Types

• Buyer account — for individuals or businesses purchasing manufactured parts.
• Supplier account — for manufacturing businesses applying to join the Manufactory network. Supplier registration is subject to a separate vetting process and Supplier Agreement.

3.3 Accurate Information

You agree to provide accurate, current, and complete information at registration and to keep it updated. We reserve the right to suspend or terminate accounts where information is found to be false or misleading.

Sections 4 through 8, covering quoting, pricing, manufacturing, quality, and cancellations, are set out in full in our Terms of Sale, which forms part of these Terms.

9. Intellectual Property and Confidentiality

9.1 Your Files

You retain all intellectual property rights to your CAD files, designs, and drawings. Uploading a file to the Platform grants Manufactory a limited, non-exclusive licence to use that file solely for the purpose of generating a quote and fulfilling your order. We do not claim ownership of your designs.

9.2 File Sharing

Your files are shared only with the supplier assigned to manufacture your order, and only to the extent necessary for production. Files are not shared with any third party, retained beyond order completion, or used for any other purpose without your explicit consent.

9.3 NDA

For sensitive or proprietary designs, a mutual non-disclosure agreement is available on request before any file is shared. Contact contact@manufactory.tech. NDA execution typically takes one business day.

9.4 Platform IP

The Platform, its software, pricing algorithms, DFM analysis tools, branding, and all content produced by Manufactory are the intellectual property of Manufactory Technologies OÜ. You may not copy, reverse-engineer, or reproduce any part of the Platform without prior written consent.

10. Supplier Terms

Suppliers joining the Manufactory network are subject to a separate Supplier Agreement which governs vetting requirements, bid obligations, payment terms, performance standards, and platform rules. These Terms of Service apply to suppliers in their capacity as users of the Platform. In the event of conflict between these Terms and the Supplier Agreement, the Supplier Agreement prevails.

Key obligations for suppliers using the Platform:

• Maintain and disclose current certification status (including ISO 9001 where held) and notify Manufactory promptly of any change in certification status.
• Respond to First-Look job notifications within the specified window.
• Manufacture only to the confirmed specification — no material, process, or tolerance substitutions without buyer consent.
• Do not contact buyers outside the Platform to circumvent Manufactory's principal role.

11. Prohibited Use

You agree not to use the Platform to:

• Upload files containing malicious code, unlawful content, or designs for prohibited items.
• Circumvent the Platform to transact directly with a supplier introduced through Manufactory.
• Reverse-engineer or scrape the Platform's pricing algorithm, supplier data, or technical infrastructure.
• Impersonate another user, supplier, or Manufactory employee.
• Submit fraudulent orders, chargebacks, or false defect claims.
• Use the Platform in any way that violates applicable law, including export control regulations.

Breach of this section may result in immediate account suspension, cancellation of open orders without refund, and legal action where appropriate.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• Manufactory's total liability to you in connection with any order is limited to the value of that order.
• We are not liable for indirect, consequential, or special damages, including but not limited to loss of production, lost profits, or project delays caused by manufacturing lead times.
• We are not liable for delays or failures caused by events outside our reasonable control (force majeure), including supply chain disruptions, carrier failures, or natural events.

Nothing in this section limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law. Consumer statutory rights under EU law are not affected.

13. Data Protection

Manufactory processes personal data in accordance with our Privacy Policy, available at manufactory.tech/privacy, and in compliance with the EU General Data Protection Regulation (GDPR). By using the Platform, you acknowledge that we process your personal data as described in the Privacy Policy.

Key points:

• Your uploaded files are stored securely and shared only as described in Section 9.
• Account data is retained for the duration of your account and for up to 7 years after account closure for legal and tax compliance purposes.
• You may request access, correction, or deletion of your personal data by contacting privacy@manufactory.tech.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Any dispute arising from or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.

If you are a consumer in the EU, you may also have the right to bring proceedings in the courts of your country of residence under applicable EU consumer protection law. This clause does not affect those rights.

15. General

• Entire agreement: These Terms, together with the Privacy Policy and any applicable Supplier Agreement, constitute the entire agreement between you and Manufactory in relation to your use of the Platform.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure by Manufactory to enforce any provision does not constitute a waiver of the right to enforce it in future.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity.
• Language: These Terms are written in English. In the event of a translation, the English version prevails.
